Terms of Use

1. Acceptance of Terms

By accessing or using the MaxExit Investment Assessment Tool at maxexit.io (the “Tool”), you agree to be bound by these Terms of Use. If you do not agree to these terms, please do not use the Tool.

The Tool is operated by Lexbury Investments (“we,” “us,” or “our”) under the MaxExit brand.

2. Description of the Tool

The MaxExit Investment Assessment Tool is an online questionnaire that evaluates businesses across five weighted categories and produces:

  • An overall investment potential score
  • Category-level scores and analysis
  • An indicative EBITDA-based valuation range
  • Risk assessment and recommendations
  • A downloadable PDF report summarizing the results

The Tool is designed to provide a preliminary, indicative view of a business’s investment attractiveness. It is not a substitute for professional advice.

3. Not Investment or Professional Advice

The results generated by the Tool, including scores, valuation ranges, risk assessments, and recommendations, are for informational purposes only. They do not constitute:

  • Investment advice or a recommendation to buy, sell, or hold any business interest
  • A formal business valuation or appraisal
  • Financial, legal, tax, or accounting advice
  • A guarantee of any particular outcome, including from the MaxExit Value Accelerator Program

The indicative valuations produced by the Tool are based on generalised EBITDA multiples and self-reported data. Actual business valuations depend on many factors not captured by this Tool and require professional analysis.

You should always consult qualified professional advisors (including accountants, lawyers, and certified business valuators) before making any investment, sale, or business decisions.

4. Accuracy of Information

The quality of the Tool’s output depends on the accuracy of the information you provide. You are responsible for ensuring that all data entered into the Tool is truthful, accurate, and complete. We are not responsible for any results, decisions, or outcomes based on inaccurate or incomplete input.

5. Intellectual Property

All content, design, scoring methodology, algorithms, text, graphics, and other materials on the Tool are the property of Lexbury Investments or its licensors and are protected by Canadian and international intellectual property laws.

You may not:

  • Copy, reproduce, or distribute the Tool or its content without our written permission
  • Reverse-engineer, decompile, or attempt to extract the scoring methodology or algorithms
  • Use the Tool or its outputs to create a competing product or service
  • Remove any proprietary notices or branding from PDF reports or other outputs

You retain ownership of the data you input into the Tool. We retain ownership of the scoring methodology, report formats, and all generated analysis.

6. Use Restrictions

You agree not to:

  • Use the Tool for any unlawful purpose
  • Attempt to gain unauthorised access to the Tool, its servers, or databases
  • Interfere with or disrupt the Tool’s operation
  • Use automated scripts, bots, or scrapers to access the Tool
  • Misrepresent the Tool’s outputs as a formal valuation or professional advice
7. Value Accelerator Program

The Tool may present information about and an application for the MaxExit Value Accelerator Program. Submitting an application does not guarantee acceptance into the programme. The programme is subject to its own separate terms and conditions, which will be provided upon acceptance.

No representation or guarantee is made regarding the results, outcomes, or returns that may be achieved through participation in the Value Accelerator Program.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

  • The Tool is provided “as is” and “as available” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not warrant that the Tool will be uninterrupted, error-free, or free of harmful components.
  • In no event shall Lexbury Investments, MaxExit, or their officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Tool.
  • Our total liability for any claim arising from or relating to the Tool shall not exceed the amount you paid to use the Tool (if any).
9. Indemnification

You agree to indemnify and hold harmless Lexbury Investments, MaxExit, and their officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Tool, your violation of these Terms, or your violation of any rights of a third party.

10. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes arising from or relating to these Terms or your use of the Tool shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

11. Changes to These Terms

We reserve the right to modify these Terms of Use at any time. When we make changes, we will update the “Effective Date” at the top of this page. Your continued use of the Tool after any changes constitutes your acceptance of the updated terms. We encourage you to review these Terms periodically.
